Autodesk® BIM 360™Entitlements
The following entitlements shall be applicable to all Quotes and Purchases made on or after September 7, 2016
Note: Capitalized terms set out below shall have the meaning assigned to them in the A360 Terms of Service unless specifically defined otherwise below.
Autodesk BIM 360 Services
All Autodesk BIM 360 Services will be subject to the Autodesk Web Services Entitlements
Additional Entitlements for Autodesk BIM 360 Glue Services
If You purchased access to an Autodesk BIM 360 Glue Service You will be additionally entitled to grant access to Eligible Authorized Users of that Service to install and access licenses to Autodesk® Navisworks® Manage software and Autodesk® Point Layout software made available by Autodesk to You, for use simultaneously with that Service (but for no other purpose) during the Term. For Autodesk BIM 360 Glue Services “Eligible Authorized Users” are Authorized Users who are Your employees and who have been granted access by You to that Service. Eligible Authorized Users must use those software licenses in accordance with the terms and conditions of the applicable Autodesk License and Services Agreement included with or otherwise governing those software licenses. An Eligible Authorized User may install, and/or access, those software licenses on or from a single computer or multiple computers provided that only one copy of each of those software licenses is accessed and used by that Eligible Authorized User at any time.
The number of licenses of Autodesk Navisworks Manage software and Autodesk Point Layout software to which you may grant access to Eligible Authorized Users, shall be limited according to the Autodesk BIM 360 Services user packs that You have been granted, as follows:

Autodesk BIM 360 Project-Based Services
Project-based access to (an) Autodesk BIM 360 service(s) (“Project-based Service(s)”) entitles You (and an unlimited number of Authorized Users authorized by You) to use and access the Project-based Service(s) during the Term of that/those service(s) for one Project having a Project Value up to, but not exceeding, the Project Value corresponding to the Project Tier purchased by You.
Autodesk BIM 360 Enterprise Credit Services
Access to (an) Autodesk BIM 360 enterprise credit service(s) (“Enterprise Credit Service(s)”) entitles You and Your Eligible Subsidiaries (and an unlimited number of Authorized Users respectively authorized by you) to use and access the Enterprise Credit Service(s) during the Term of that/those services for an unlimited number of your respective Projects, provided You have sufficient BIM 360 Enterprise Credits.
Autodesk BIM 360 Enterprise Unlimited Services
Access to (an) Autodesk BIM 360 enterprise unlimited service(s) (“Enterprise Unlimited Service(s)”) entitles You and Your Eligible Subsidiaries (and an unlimited number of Authorized Users respectively authorized by you) to use and access the “Enterprise Unlimited Service(s)” during the Term of that/those services for an unlimited number of your respective Projects, subject to Your Represented Aggregate Project Value.
Additional Entitlements for Autodesk BIM 360 Glue Services
If You purchased access to an Autodesk BIM 360 Glue service You will be additionally entitled to grant access to Eligible Authorized Users of that Project-based Service to install and access eligible licenses to Autodesk® Navisworks® Manage software and Autodesk® Point Layout software made available by Autodesk to You, for use simultaneously with that Project-based Service (but for no other purpose) during the Term. For Autodesk BIM 360 Glue Project-Based Services “Eligible Authorized Users” are Authorized Users who are Your employees and who have been granted access by You to that Project-based Service in relation to a particular Project; for Autodesk BIM 360 Glue Enterprise Credit Services and Autodesk BIM 360 Enterprise Unlimited Services “Eligible Authorized Users” are Authorized Users who are Your employees or the employees of Your Eligible Subsidiaries and who have been granted access by You or Your Eligible Subsidiary to that Project-based Service in relation to a particular Project. Eligible Authorized Users must use those software licenses in accordance with the terms and conditions of the applicable Autodesk License and Services Agreement included with or otherwise governing those software licenses. An Eligible Authorized User may install, and/or access, those software licenses on or from a single computer or multiple computers provided that only one copy of each of those software licenses is accessed and used by that Eligible Authorized User at any time.
For the purposes of the above services descriptions, the following words shall have the following meanings:
“BIM 360 Enterprise Credits” are a unit of measure for Enterprise Credit Services. BIM 360 Enterprise Credits are required to use and access Enterprise Credit Services. BIM 360 Enterprise Credits are available for purchase directly from Autodesk. BIM 360 Enterprise Credits may not be sold, bartered, traded, transferred, exchanged or used with any other Autodesk product or service and will expire at the end of the Term of Your Enterprise Credit Service(s). BIM 360 Enterprise Credit monthly usage rates are set out in Your Purchase Documentation. Autodesk determines usage rates and may change usage rates for BIM 360 Enterprise Credits from time to time.
“Eligible Subsidiaries” means those subsidiaries listed in the Purchase Documentation.
“Project” means the specific work to be planned, managed or undertaken by You (or Your Eligible Subsidiaries, if covered by Your service) which is, or is directly related to, the construction of a particular facility, structure or infrastructure.
“Project Value” means the total value of a Project. This cost includes (but is not limited to) the cost of all labor and materials (including but not limited to cost of use of construction equipment), the cost of procured equipment, cost of architectural and engineering work, overhead costs from site survey to owner handover, interest and taxes paid during construction or other work and Your/contractor’s profits. Project Value includes all subcontractor and vendor costs related to a Project whether or not they are under Your (or, if applicable and covered by Your service, Your Eligible Subsidiaries’) direct control.
“Project Tier” means the applicable Project-based Service(s) tier corresponding to the appropriate Project Value in the country in which You purchased the Project-based Service(s). Project Tiers and corresponding Project Values can be viewed using the credentials provided to You by Autodesk.
“Purchase Documentation” means the Autodesk documentation signed by You for the purchase of the service(s).
“Represented Aggregate Project Value” means the aggregate Project Values of all of Your and Your Eligible Subsidiaries’ Projects at the date of purchase of the Enterprise Unlimited Service(s), as represented and warranted by You to Autodesk in the Purchase Documentation
